• Calm Water Fund LP (the “Fund”) and Calm Water Fund Partners LLC (the “General Partner”) are in GP, LP structure has delegated the investment management responsibilities for Calm Water Fund LP (the “Fund”) to MindWave Capital LLC (the “Investment Manager”) and is not registered as an investment adviser with the Securities and Exchange Commission (“SEC”) or any state securities authorities. However, the Investment Manager has filed as an exempt reporting adviser under the “private fund advisor exemption” with the State Securities Board of the State of Texas. The Investment Manager is charged by the General Partner with the day-to-day investment of the Partnership’s capital.
